Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Squared Cash (Pty) Ltd("Squared", "we", "us" or "our"), a company registered in the Republic of South Africa, and govern your access to and use of the Squared website, applications and services (together, the "Service"). By creating an account or using the Service you accept these Terms.

1. What Squared does

Squared is a coordination and payment orchestration tool that helps groups collect money for shared expenses. Squared is not a bank, is not a licensed money remitter, and does not hold your funds. Payments are processed by licensed third-party payment providers, and settled to the organizer's designated bank account. You are responsible for ensuring that your use of the Service is lawful in your jurisdiction.

2. Eligibility & accounts

You must be at least 18 years old to create an account.
You agree to provide accurate information and to keep your account credentials secure.
You are responsible for all activity that occurs under your account.
We may refuse, suspend or terminate accounts at our discretion where we believe there is fraud, abuse or a breach of these Terms.

3. Organizer responsibilities

You may only create pools for lawful purposes and must accurately describe what the pool is for.
You are responsible for the accuracy of amounts, participants, due dates and cover content you provide.
You must obtain any necessary consent from participants before adding their names or contact details to a pool.
You are solely responsible for delivering the goods, services, gifts or experiences that a pool is collecting for.
You are responsible for any tax, reporting or regulatory obligations that arise from money you collect.

4. Contributor responsibilities

By contributing, you confirm you are the authorized user of the payment method used.
Contributions are made to the organizer, not to Squared. Any dispute regarding what a contribution was used for must be resolved directly with the organizer.

5. Fees

Creating and managing pools on the Free tier is free for organizers. Contributors pay a merchant card processing fee (currently 2.9% + R1 per payment) and, on the Free tier, a Squared service fee (currently 0.9%). On the Plus tier the organizer pays a monthly subscription (currently R99/month) and contributors pay only the merchant processing fee. Fees are shown clearly before checkout and may change; changes will be reflected on the Service and, for subscription pricing, communicated in advance.

6. Refunds & disputes

Because Squared does not hold funds, refund requests must be raised with the organizer. Squared may, at its discretion and where technically possible, assist with refund coordination. Card chargebacks are governed by the card scheme rules of the issuing bank.

7. Prohibited use

You may not use the Service to:

Collect money for unlawful, fraudulent, misleading or infringing purposes.
Fund the sale or distribution of illegal drugs, weapons, adult content, gambling or any activity restricted by our payment providers.
Circumvent security controls, scrape the Service, or interfere with its normal operation.
Impersonate any person or misrepresent your affiliation with any person or organization.

8. Intellectual property

The Service, including its design, software, branding and content produced by Squared, is owned by Squared and protected by intellectual-property laws. You retain ownership of content you submit (pool names, descriptions, images) and grant Squared a non-exclusive, worldwide, royalty-free licence to host, display and process that content solely to operate and improve the Service.

9. Verified organizer badge

The verified organizer badge indicates that an organizer has completed our identity verification process. It is not a guarantee of an organizer's conduct, financial standing, or the outcome of any pool.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Squared disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

11. Limitation of liability

To the maximum extent permitted by law, Squared and its directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data or goodwill, arising out of or related to your use of the Service. Our total aggregate liability arising out of these Terms or the Service is limited to the greater of (a) the total fees paid by you to Squared in the twelve (12) months preceding the event giving rise to liability, or (b) ZAR 1,000.

12. Indemnity

You agree to indemnify and hold Squared harmless from any claim, demand, loss, damage or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law or third-party right, or your use of the Service.

13. Termination

You may stop using the Service at any time and request account deletion through your profile. We may suspend or terminate your access if we reasonably believe you have breached these Terms or created risk for Squared, our users or our payment providers. On termination, the sections that by their nature should survive will remain in effect.

14. Governing law & jurisdiction

These Terms are governed by the laws of the Republic of South Africa. You and Squared submit to the exclusive jurisdiction of the courts of the Western Cape, South Africa, for the resolution of any dispute arising out of or in connection with these Terms.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Updated" date at the top of the page and, where the changes are material, provide notice through the Service or by email. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
